1. Scope
These T&Cs govern all contracts and services of Stratum IT GmbH, doing business as “99Miners” (“99Miners”, “we”, “us”), in particular:
- the sale of mining hardware (B2B only),
- advisory services (B2B and – where legally permitted – B2C),
- the referral of third‑party hosting services (B2B and B2C).
Conflicting or supplementary terms of the customer ("Customer") apply only if we explicitly agree in writing. Mandatory consumer rights remain unaffected where applicable.
2. B2B/B2C Demarcation
The hardware sale is exclusively to businesses (B2B). We may reject or cancel orders that do not meet our B2B criteria.Advisory and hosting referral may, to the extent permitted by law, be provided to consumers (B2C) as well.
For B2B transactions, the Customer represents that it is acting as a business and is authorised to place the order.
3. Services by 99Miners
3.1 Hardware Sale (B2B)
We supply mining hardware (e.g., ASIC miners) to business customers. Technical specifications, availability and prices are shown on the product page.
3.2 Advisory
We provide education and advisory services around mining (e.g., unit economics, infrastructure, hosting options). No financial, tax or legal advice. Decisions and risks remain with the Customer.
3.3 Hosting Referral (B2B/B2C)
We refer Customers to independent third‑party hosting providers ("Hosters"). 99Miners is not a party to the hosting contract; rights and obligations exist exclusively between Customer and Hoster. We may receive a referral fee from the Hoster at no extra cost to the Customer. Availability, pricing, SLA, uptime, energy prices etc. are under the sole responsibility of the Hoster.
4. Contract Formation
Product/service displays are non‑binding. A Customer order constitutes an offer. A contract is concluded upon our order confirmation (email) or by performance/shipment. We may refuse orders without stating reasons (e.g., compliance, sanctions lists, B2B criteria, creditworthiness).
5. Prices, Taxes & Minimum Order Value
All prices are net (exclusive of taxes).Deliveries to Switzerland: Swiss VAT 8.1% applies.Deliveries outside Switzerland: we do not charge Swiss VAT.
Incoterm: unless agreed otherwise in writing, we ship DAP – Delivered At Place (Incoterms® 2020). The Customer/consignee acts as Importer of Record and bears import VAT, customs duties and clearance fees at destination.Minimum order value: we do not process consignments ≤ €150 (no IOSS regime).
Exchange‑rate fluctuations, manufacturer price changes and mistakes are reserved.
6. Shipping, Delivery, Transfer of Risk
We ship from the manufacturer or regional warehouse to the address provided by the Customer.Lead times are non‑binding; customs clearance may delay delivery.
DAP (Incoterms® 2020): we make the goods available at the named place of destination (not unloaded). Risk and costs transfer according to DAP when the goods are placed at disposal at destination.The Customer shall timely complete import formalities; if delivery is refused or delayed, the Customer bears storage/return/additional costs.
Partial deliveries are permissible where reasonable. Any "free shipping" statements refer—where indicated—only to carriage to destination under DAP, excluding import charges.
7. Retention of Title
Title to the goods remains with 99Miners until payment in full of all amounts due under the respective order. We may register retention of title in the relevant public register.
8. Payment Terms
Payment methods as offered at checkout/order confirmation (e.g., prepayment/wire transfer, and where enabled, card/wallets).Unless agreed otherwise: payment term Net 30 days from invoice date.In case of default: default interest under Swiss law and reimbursement of reminder/collection costs.Set‑off/withholding is permitted only with undisputed or finally adjudicated counterclaims.We may hold shipments pending compliance/sanctions/KYC or credit checks.
9. B2B Eligibility & Right to Review/Cancel
For hardware orders we require company name, legal form and business address. We may cancel orders that are clearly not B2B (e.g., private address, no company name). In case of misrepresentation, the Customer shall indemnify and hold harmless 99Miners from any losses, costs and claims arising therefrom.
10. Warranty, DOA & Returns (Hardware B2B)
Hardware is primarily covered by the manufacturer’s warranty (typically 12–24 months, model‑dependent).
Dead‑on‑Arrival (DOA): defects must be reported within 7 calendar days from delivery in writing with photos/videos/diagnostic logs. We coordinate the RMA with the manufacturer; the decision on repair/replacement is made by the manufacturer.
RMA/Repair Process (Direct‑to‑Manufacturer):
- Repairs/inspections are performed by the manufacturer or an authorised service partner.
- The Customer shall ship the device directly to the designated manufacturer/service partner in accordance with our RMA instructions (no return to 99Miners unless explicitly requested).
- Shipping/Packaging: The Customer must pack suitably for transport; transport risk until receipt by the manufacturer/service partner lies with the Customer.
- Customs/Import: For cross‑border shipments the parcel must be marked “RMA/Repair – No Commercial Value”; required export/import formalities must be observed. Any duties/fees are borne by the Customer unless agreed otherwise in writing.
- Cost rule: As a rule, the Customer bears shipping costs. Where DOA is acknowledged by the manufacturer, reasonable shipping costs may be reimbursed in line with the manufacturer policy.
- Replacements: Replacement units may be new or refurbished; the remaining warranty term follows the manufacturer’s policy.
- Turnaround times are non‑binding; customs/logistics may extend timelines.
Exclusions (examples): damage due to improper use, modding/overclocking/undervolting, unofficial firmware, lack of maintenance, moisture/condensation, incorrect voltage, lightning/power events, broken seals/serials, normal wear (e.g., fans), and operation outside specifications. Manufacturer NFF fees ("No Fault Found") may be charged to the Customer.
No returns after activation: Due to product characteristics, returns after devices have been powered on are excluded. Statutory warranties in B2B are limited to the extent permitted by law.
11. Hosting Referral: Role & Liability
Our role is limited to the referral of hosting services. The hosting contract is concluded exclusively between Customer and Hoster. 99Miners assumes no liability for uptime, energy pricing, availability, SLA, data security, performance or other obligations under the hosting contract.We make no representations on profitability; projections and calculator outputs are non‑binding estimates.
12. Advisory/Information – No Financial/Tax/Legal Advice
All information, calculations, tools and assessments are for general information only. They do not constitute investment, tax or legal advice and are no substitute for independent professional advice. Decisions are made by the Customer at its own risk.
13. Consumer Rights (Services only)
Where we provide services to consumers, the mandatory consumer protection laws of the consumer’s place of residence may apply.
13.1 Right of Withdrawal for Services (EU/UK – where applicable)
Consumers may have a 14‑day withdrawal right from contract conclusion.Note: If the service is to be provided immediately, the consumer may consent to the early start of performance and acknowledge the loss of the withdrawal right once performance has begun in full.A model withdrawal notice and a template form are provided at [link].
This section does not apply to hardware sales (B2B only).
14. Liability
We are liable without limitation for intent and gross negligence.For simple negligence we are liable only for breaches of material contractual obligations (cardinal duties) and limited to the foreseeable, typical damage.Liability for loss of profit and indirect/consequential damages is excluded in B2B.Mandatory liability (e.g., product liability, personal injury) remains unaffected.We are not liable for services provided by third parties (Hosters, carriers, customs brokers).
15. Export Controls & Sanctions
The Customer warrants compliance with all applicable export, re‑export, embargo and sanctions laws. Sales to sanctioned countries or listed parties are prohibited. We may reject/cancel orders for compliance reasons.
16. Import/Product Compliance
Where the Customer acts as Importer of Record, the Customer is responsible for compliance with local product requirements (e.g., CE, EMC, RoHS, WEEE). Where delivery is made from an EU/UK warehouse by exception, local tax/compliance obligations may arise for 99Miners; we will inform and invoice accordingly.
17. Data Protection
We process personal data for contract fulfilment and shipping/customs handling (disclosure to carriers, customs brokers, manufacturers). Details are set out in our Privacy Policy.
18. Intellectual Property & Use of Content
All content, texts, graphics, tools and calculators are protected by copyright. Any use beyond the contract purpose requires our prior consent.
19. Changes to the T&Cs
We may amend these T&Cs for the future (e.g., legal changes, service adjustments). The version valid at the time of order applies. Material changes will be announced on the website.
20. Governing Law & Venue
These T&Cs are governed by substantive Swiss law excluding the UN Sales Convention (CISG).Venue is, to the extent permitted, the registered seat of 99Miners. Mandatory consumer protections at the consumer’s residence remain unaffected.
21. Miscellaneous
If any provision of these T&Cs is held invalid or unenforceable, the remaining provisions shall remain in full force and effect (severability). The contract language is English (translations are for convenience only). Notices may be given electronically.
